Krooth & Altman’s corporate practice offers clients general business and corporate counsel and services, including representation in connection with corporate mergers and acquisitions, and advice and counsel on employment law. The firm also assists developer clients in connection with the purchase and sale of real estate parcels and the preparation of any relevant homeowners’ association, condominium, or cooperative documents. The firm also provides business entities with counsel as to the law of licensing and qualification to do business in those jurisdictions where the entities desire to do business.
Many K&A clients routinely sell or purchase partnership interests, private mortgage securities, mortgage-backed securities guaranteed by Ginnie Mae, Fannie Mae or Freddie Mac, investment or participation certificates, whole loans, mortgage pools, servicing portfolios and tax-exempt bonds. The firm counsels clients on related Federal and State securities laws associated with these matters, assists in deal structuring, and prepares and reviews the agreements and the disclosure documents associated with the transactions.
In its tax practice, K&A advises individual, partnership, and corporate clients with regard to a variety of tax matters. The firm provides legal advice in structuring equity investments, mergers, acquisitions and reorganizations, and counsels various types of non-profit organizations with respect to compliance with the Internal Revenue Code. The firm counsels corporate clients and executives with regard to compensation packages, stock options, and restricted stock. K&A also advises individuals on wealth preservation and estate planning. The firm represents clients before the Internal Revenue Service.
