Mr. Upadhya sits on the firm’s management committee. Mr. Upadhya’s practice touches on a diverse range of practice areas within the commercial real estate arena, but he focuses his practice in representing mortgage lenders in commercial real estate financing transactions under various programs, including loans to be purchased by Fannie Mae or Freddie Mac (whether immediate permanent loans or funded/unfunded forward commitments), loans made under conventional or portfolio loan programs, construction loans (whether taxable construction loans or tax-exempt private bond placements), mezzanine loans and short term bridge loans. In addition, Mr. Upadhya has represented investors in structuring commercial real estate investments as preferred equity investments. Mr. Upadhya has also assisted clients over the years in establishing their own proprietary loan programs from the ground up for both immediate fundings and funded forward commitments. Mr. Upadhya has extensive experience in affordable housing transactions and the various issues inherent to such transactions, including among other things, 4% and 9% LIHTC transactions, RAD transactions, properties with multi-layered soft and hard subordinate financing, Ground Lease transactions, Variable and Fixed-Rate Bond/Credit Enhancements, PILOTS and other tax abatements, Tax Increment Financing, and Historic Tax Credit Master Lease transactions. Mr. Upadhya has also developed a deep expertise in structuring transactions to accommodate the requirements of Delaware Statutory Trust borrowers. In addition to representing his clients in transactional closing matters, Mr. Upadhya also regularly represents clients in connection with structuring and drafting their loan commitments and providing counsel on loan workout and other servicing and asset management related issues. In addition to his lending practice, Mr. Upadhya also represents developers and property owners in commercial real estate acquisitions and financings in the Mid-Atlantic region with respect to both affordable and market rate projects.
